Evenfall Terms of Service

These Terms govern the use of Evenfall, a product of Axiom Frontier Intelligence LLC, a Utah limited liability company ("Evenfall," "we," "us"), by outdoor guide and outfitter businesses ("Outfitter," "you"). By creating an account, submitting a trip, or otherwise using Evenfall, you agree to these Terms. Evenfall is intended for businesses operating in the United States.
Guest consent is your responsibility.
You represent and warrant that, for each Guest whose contact information you submit:
- the Guest has given appropriate consent to be contacted by email and/or text message about their outing, including receiving the keepsake and messages described in our Privacy Policy and consent process;
- the contact information belongs to an adult (18 or older) or to a parent or legal guardian of a minor Guest; and
- all names, email addresses, and phone numbers you submit are accurate.
Photographs and likenesses.
You represent and warrant that you have the right to share every photograph you submit, and that you have permission from each identifiable person appearing in your photographs (or from a parent or legal guardian, for minors) to use their image in a keepsake created and delivered on your behalf.
You own your content; we process it on your behalf.
You retain ownership of the Guest data, trip details, voice recordings, and photographs you submit. Evenfall processes this content solely to generate and deliver keepsakes and messages on your behalf, and does not use it for any other purpose.
Keepsakes are generated with AI, and you must review them.
Evenfall uses artificial intelligence to draft each keepsake and delivery message from the materials you provide. AI-generated content can contain errors, omissions, or wording you would not have chosen. That is why every keepsake and delivery message is presented to you for review and editing before anything is sent.
You review and approve before anything is sent.
Nothing is sent to a Guest until you approve it. Your approval constitutes your certification that you have reviewed the content, that it is accurate, and that you are authorized to send it to that Guest. Evenfall is not responsible for content you have approved for delivery.
Intellectual property.
Evenfall and its software, keepsake designs, templates, and formats are the property of Axiom Frontier Intelligence LLC. Upon delivery of a keepsake, you and your Guest receive a perpetual, non-exclusive license to keep, print, and share that keepsake for personal and business-promotional use. Guests may keep their downloaded keepsake permanently.
Acceptable use.
You will not submit content that is unlawful, misleading, defamatory, or that you do not have the right to share, and you will not use Evenfall to contact anyone who has not consented to be contacted about their outing.
Fees, billing, and renewal.
Evenfall is offered as a subscription, at the pricing published by Evenfall or agreed with you in writing at signup. Unless your plan says otherwise:
- Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until canceled. You can cancel at any time, effective at the end of the current billing period.
- Annual plans are billed once per year in advance.
- Changing plans. You can change plans at any time from your Evenfall portal. Moving to a larger plan takes effect immediately, and we bill the difference for the remainder of your current billing period. Moving to a smaller plan takes effect at the end of your current billing period, so you keep what you paid for until then. Switching from monthly to annual takes effect immediately, and we credit the unused part of the month you already paid for. Switching from annual to monthly takes effect at the end of your current annual period.
- No refunds or proration on cancellation. When you cancel, your subscription stays active until the end of the billing period you have already paid for, and is not renewed. Fees already paid are not refunded and are not prorated. This applies to annual plans as well: cancelling an annual plan ends it at the end of that annual period, without a refund of the remaining months.
- Seasonal pause. Monthly plans may be paused for up to six months (183 days) in any twelve-month period, at a $9 per month keep-warm rate. Pausing is not available on annual plans. A pause takes effect at the end of your current billing period, not immediately, and the months you have already paid for are not prorated or refunded. You choose a reactivation date when you pause; on that date your plan resumes automatically at its normal price, and your billing period is re-anchored to that date. You may change your return date at any time within that allowance; if you come back early, the unused days return to it. We email you seven days before your plan resumes.
- Usage. Each plan includes a monthly allowance of outings, shown on the plan you chose. We allow a buffer of three outings past your allowance before anything changes. Beyond that buffer, new outings cannot be started until your allowance resets at the next billing period or you move to a larger plan. Outings already under way are always finished and delivered, and keepsakes already delivered to Guests are never affected. Your portal shows where you are against your allowance at all times.
- Founding and promotional pricing applies as stated in the written offer that granted it.
- Nonpayment. If payment fails and is not resolved after reasonable notice, we may suspend new trip submissions. Keepsakes already delivered to Guests are not affected by a billing lapse.
- We may change fees prospectively with reasonable notice; changes apply from your next renewal. Founding pricing is an exception: where we have granted you a founding discount, that discount stays with your account for as long as your subscription remains continuously active. It applies to whichever plan you are on, so it survives a change of plan, and it survives a seasonal pause. The $9 keep-warm rate during a pause is not a plan and is not discounted further; it is $9 per month, and your founding discount applies again to your plan price when the plan resumes. The discount does not survive cancellation.
Termination and what happens to your data.
You may cancel at any time. We may suspend or terminate access for use that violates these Terms. After cancellation, delivered keepsake pages remain available to your Guests for 90 days, after which they may be removed; Guests keep any keepsake they have downloaded. Your submitted data is retained and deleted as described in our Data Retention Policy. A Guest's deletion request is honored at any time, including during an active subscription.
Indemnification.
You will indemnify, defend, and hold harmless Axiom Frontier Intelligence LLC and its owner, employees, and agents from and against any claims, damages, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of (a) your breach of the consent and accuracy warranties above, including any claim under the Telephone Consumer Protection Act or similar law relating to messages sent to a Guest you submitted; (b) content you approved for delivery; or (c) your violation of the rights of any person, including privacy, publicity, or intellectual-property rights in materials you submitted.
No warranty.
Evenfall is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any particular business outcome (including reviews or bookings) will result from its use.
Limitation of liability.
To the maximum extent permitted by law: (a) Axiom Frontier Intelligence LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to Evenfall will not exceed the fees you paid to Evenfall in the twelve months preceding the event giving rise to the claim.
Governing law.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. The state and federal courts located in Utah will have exclusive jurisdiction over any dispute, and each party consents to venue there.
Changes.
We may update these Terms from time to time. For material changes, we will provide notice by email or within the product, and may ask you to re-accept. Continued use of Evenfall after a change takes effect constitutes acceptance of the updated Terms.
